1. Description of Service

Thread & Tally ("Service") is a web-based software-as-a-service platform designed for craft fair vendors. The Service provides inventory tracking, receipt OCR, event management, AI-powered business insights, and tax reporting tools. The Service is operated at threadandtally.com.

2. Account Registration & Responsibility

To use Thread & Tally you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old to create an account. You agree to provide accurate and complete information during registration and to keep it up to date.

3. Free Trial & Billing

Thread & Tally offers a 14-day free trial. A valid credit card is required to start the trial. If you do not cancel before the trial ends, your card will be charged $39.99 per month automatically. Payments are processed by Stripe. Your subscription renews monthly until you cancel. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload malicious code, viruses, or harmful content
  • Resell, sublicense, or redistribute the Service without our written consent

5. Intellectual Property

Your data:You retain full ownership of all data, images, and content you upload to Thread & Tally. We do not claim any intellectual property rights over your content.

Our platform:The Service, including its design, code, features, and branding, is owned by Thread & Tally and protected by applicable intellectual property laws. You may not copy, modify, or reverse-engineer any part of the platform.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

7. AI Features Disclaimer

Thread & Tally includes AI-powered features such as business insights and product recommendations. These features are provided for informational purposes only and do not constitute financial, tax, legal, or professional advice. You should not rely solely on AI-generated insights for business decisions. We make no guarantees regarding the accuracy or completeness of AI-generated content.

8. Receipt OCR Disclaimer

The receipt scanning (OCR) feature uses artificial intelligence to extract data from receipt images. While we strive for accuracy, automated text recognition may produce errors. You are responsible for reviewing and verifying all scanned data before relying on it for accounting, tax, or any other purpose.

9. Service Availability

We strive to keep Thread & Tally available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or data loss resulting from service interruptions.

10. Limitation of Liability

To the fullest extent permitted by law, Thread & Tally and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may close your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
